TechnologyAdvice is dedicated to educating, advising, and connecting the buyers and sellers of business technology. In the spirit of that mission, the company created the TechnologyAdvice STEM Scholarship to help connect the next generation of the workforce with educational opportunities in technology-related fields in its home state of Tennessee. The company was founded in Middle Tennessee by a Nashville native, and is invested in strengthening the technology workforce in the region. The TechnologyAdvice STEM Scholarship supports students who are enrolled full time at an accredited college or university in the state of Tennessee and majoring in a STEM field of study. This $1,000 scholarship is made available annually to one student from a field of applicants who meets the criteria. TechnologyAdvice WILL OBTAIN A NON-EXCLUSIVE LICENSE TO POST AND USE ANY AND ALL CONTENT SUBMITTED AS PART OF THE CONTEST. ALL DISPUTES WILL BE RESOLVED SOLELY BY BINDING ARBITRATION. By participating in this Contest, entrants agree to be bound by these rules (“Official Rules”) and the decisions of the judges and/or TechnologyAdvice, which are binding and final on matters relating to this Contest, including, without limitation, interpretation of the Official Rules. APPLICANT CRITERIAApplicants must meet the following criteria: (a)  Applicants must be enrolled full time with a minimum of 12 credit hours at an accredited two year or four year college or university in the state of Tennessee; (b)  Applicants must have declared a major in a STEM field of study (as defined by the National Science Foundation); (c)  Applicants must have maintained a minimum overall 2.75 cumulative grade point average; (d)  Applicants must be able to express a financial need for the scholarship; (e)  Applicants must exemplify leadership and demonstrate a commitment to and passion for their designated STEM field of study; and (f)    Applicants must submit a copy of their unofficial, current. COMMUNICATIONS:All communications regarding this Contest must be sent to TechnologyAdvice,TechnologyAdvice STEM Scholarship at scholarship@technologyadvice.com. ENTRY PERIOD: Entrants may begin submitting entries to the Contest on or about January 5, 2015, and all submissions must be received by TechnologyAdvice on or before 11:59 PM Central Time on March 13, 2015 (“Entry Period”). HOW TO ENTER: You can then enter the Contest by completing the application (“Contest Application”) and by creating and submitting a video or a written essay (“Entry”) that meets the requirements outlined in these Official Rules.  Entrant must complete the Contest Application for an Entry to be eligible.  All Entries must be received during the Entry Period to be eligible. For purposes of this Contest, an Entry is considered “received” when the Contest Application’s servers record the Entry information. Proof of sending (such as an automated computer receipt confirming entry or “thanks for entering” message) does not constitute proof of actual receipt of an entry for purposes of this Contest. Those who do not follow all of the instructions, provide the required information in their Contest Application, or abide by these Official Rules or other instructions of TechnologyAdvice will be disqualified. Limit one (1) Entry per person and per email address. Entries received from any person or e-mail addressin excess of the stated limitation will be void. All Entries that are in excess of the stated limits, late, illegible, incomplete, damaged, destroyed, forged or otherwise not in compliance with the Official Rules may be disqualified from the Contest at TechnologyAdvice’s sole and absolute discretion. Entries generated by any means which subvert the entry process are void. All Entries become the physical property of TechnologyAdvice.  In the event of a dispute as to the identity of any entrant who submits an Entry, the Entry will be deemed submitted by the holder of the e-mail account from which it was sent but only if such person is otherwise eligible. The “account holder” is the person assigned an e-mail address or service by the organization responsible for assigning addresses for the domain associated with the submitted address. Winners may be required to show proof of being the registered account holder. If a dispute cannot be resolved to the TechnologyAdvice’s satisfaction, the Entry will be deemed ineligible. TechnologyAdvice and affiliated entities are not responsible for lost, misdirected, misplaced, stolen, tampered with, deleted, or invalid Entries. Assurance of delivery of Entries is the sole responsibility of the entrant. CONTEST CRITERIA:  Entries must meet the following guidelines in order to be eligible to win the prize (“Contest Criteria”): (a)  Entries must be a video or written essay; (b)  Videos must be uploaded to YouTube, and TechnologyAdvice provided a link; (c)  Essays must be in pdf format; (d)  The video or written essay must discuss your career aspirations, and (e)  The video or written essay present a current challenge in your STEM field of study and include thoughts on a possible solution for the challenge. CONTEST GUIDELINES:In addition to the Contest Criteria, Entries that that do not meet the following guidelines are subject to disqualification and/or removal from the Contest, at TechnologyAdvice’s sole and absolute discretion (“Contest Guidelines”): (a)   Submissions must comply with the Official Rules. (b)   Submissions must be in the English language. (c)   Submissions must not have been submitted previously in any contest of any kind or exhibited or displayed publicly (i.e., disclosed beyond your immediate circle of friends and family) through any means previously. (d)   Submissions must not include material that (a) is sexually explicit, indecent, obscene, violent, hateful, tortuous, defamatory, slanderous or libelous, (b) is derogatory or promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation or age, (c) invades the privacy or publicity rights of any person, living or deceased, (d) is unlawful, or (e) is disparaging to TechnologyAdvice or is inconsistent with the positive images and/or goodwill to which TechnologyAdvice wishes to associate (at TechnologyAdvice’s sole and absolute discretion). (e)   Each submission must not reveal any personal information about another individual, including another person’s address, phone number, e-mail address, credit card number or any information that may be used to track, contact or impersonate that individual. DETERMINING THE WINNERS: Each Entry will be reviewed by a team of judges assembled by TechnologyAdvice, who will review and judge all eligible submissions based on the Contest Criteria. WINNER NOTIFICATION:  The Winner shall be announced on the Contest Website.  Prior to the announcement of the Winner on the Contest Website, the Winner may be pre-notified by TechnologyAdvice by mail and/or e-mail (as selected by TechnologyAdvice).  TechnologyAdvice is not responsible for false, incorrect, changed, incomplete or illegible contact information. Notification is deemed to have occurred immediately upon sending of an e-mail, one (1) day after sending via a delivery service or two (2) days after mailing. The Winner may be required to execute and return an affidavit of eligibility, a liability release and, where lawful, a publicity release,and shall be required to provide proof of enrolment in an eligible college or university.   If TechnologyAdvice is unable to contact the Winner or the Winner is not in compliance with these Official Rules, the prize will be forfeited and, at TechnologyAdvice’s discretion, an alternate Winner selected. If the Winner is at least eighteen (18) years old but still considered a minor in his/her jurisdiction of residence, the prize may be awarded in the name of his/her parent or legal guardian who will be responsible for fulfilling all requirements imposed on the Winner. CONTEST TIMELINE:  While subject to change upon the sole decision of TechnologyAdvice, the timeline for the Contest is as follows: PRIZES:TechnologyAdvicewill be awarding $1,000 scholarship in the form of a check payable to the recipient’s institution to be applied towards tuition and education-related expenses.  The prize is non-transferable, with no cash redemptions, equivalents or substitutions.  The winner will be solely responsible for all federal, state and/or local taxes, and for any other fees or costs associated with the prize they receive, regardless of whether it, in whole or in part, are used. INTELLECTUAL PROPERTY:Entrants, upon submission of their Entry to the Contest, hereby irrevocably grant to TechnologyAdvice, and each of its licensees, successors and assigns, the non-exclusive, perpetual, royalty-free, no-cost license and right to use and otherwise exploit the submissions submitted as part of the Contest, and all images, text videos, and materials submitted as part of the Entry, in whole or in part, in any manner or medium now or hereafter known or devised (including, without limitation, CDs, streaming media, film, television, videocassettes, print, interactive devices, mobile media, Internet and on-line systems), throughout the universe and in any and all languages, including, without limitation, the right to display, reproduce, record, perform, exhibit, distribute, copy, edit, change, modify, add to, subtract from, re-title and adapt the same, to combine it with other material and otherwise use and exploit it without having to give any compensation or attribution to entrants except for the awarding of the prize in this Contest. TechnologyAdvice, and each of their successors, assigns and licensees, will have the right to make unlimited derivative works of the submission, to assign or transfer any or all such rights and to grant unlimited, multiple-level sublicenses. Without limiting the forgoing, TechnologyAdvice will have the right to use the submissions submitted as part of the Contest, and all images depicted therein (if any), in any merchandising, advertising, marketing, promotion or for any other commercial or non-commercial purpose. Notwithstanding that TechnologyAdvice is granted a non-exclusive license in entrant’s submission, entrants acknowledge that as a condition to being selected as a Winner, TechnologyAdvice may request that the Winner’s submission, and any rights therein, be assigned to TechnologyAdvice.  Each entrant acknowledges that other entrants may have created ideas and concepts contained in their submission that may have familiarities or similarities to his/her own submission, and that he/she will not be entitled to any compensation or right to negotiate with such parties because of these familiarities or similarities. The decisions of the TechnologyAdvice are final and binding in all matters relating to this Contest, including interpretation and application of these Official Rules. Each entrant, by participating in the Contest, except where legally prohibited, grants permission for TechnologyAdvice and its designees to use his/her name, address (city and state), photograph, and/or other likeness and prize information for advertising, trade and promotional purposes without further compensation, in all media now known or hereafter discovered, worldwide in perpetuity, without notice or review or approval. REPRESENTATIONS, WARRANTIES, AND INDEMNITY:Each entrant represents and warrants that he or she has read, understands and will follow the Official Rules, and further represents and warrants that he or she has the right to agree to and fully perform consistent with these Official Rules and the consent of no third parties are required to grant such rights. Further, each entrant represents and warrants that TechnologyAdvice’s use of any submission shall not violate an agreement to which such entrant has signed. Entrants agree to indemnify and hold the TechnologyAdvice, its owners, officers, employees, and affiliates harmless from and against any third party claim, to the extent relating to any breach of any representation, warranty or covenant made by such entrant in connection with his or her acceptance of these Official Rules or Contest activities. RELEASE:By participating in the Contest, entrants agree to release, discharge and hold harmless TechnologyAdvice, its officers, employees, agents, successors and assigns (“Released Parties”) from and against and any and all claims, liability, costs, losses, damages or injuries of any kind arising out of or related to entrants’ participation in the Contest (including, without limitation, losses, damages or injuries to entrant’s or any other person’s equipment or other property, or to their persons, related to participation in the Contest; or arising out of any violation of rights of publicity or privacy, or claims of defamation or portrayal in a false light; or based on any claim of infringement of intellectual property; or from any typographical, human or other error in the printing, offering, selection, operation or announcement of any Contest activity and/or prize).   Without limiting the generality of the foregoing entrants agree that Released Parties have neither made nor will be in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, in connection with the Contest.   TechnologyAdvice is not responsible for the actions of entrants in connection with the Contest, including entrants’ attempts to circumvent the Official Rules or otherwise interfere with the administration, security, fairness, integrity or proper conduct of the Contest. General Conditions: Released Parties are not responsible for lost, late, incomplete, inaccurate, stolen, misdirected, undelivered, delayed, garbled or damaged Entries; or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Contest, including, without limitation, errors or difficulties which may occur in connection with the administration of the Contest, the processing of entries, the announcement of the prizes or in any Contest-related materials. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by Contest Website users, tampering, hacking, or by any equipment or programming associated with or utilized in the Contest. Released Parties are not responsible for injury or damage to participants’ or to any other person’s computer related to or resulting from participating in this Contest or from use of the Contest Website. Persons who tamper with or abuse any aspect of the Contest or Contest Website or who are in violation of these Official Rules, as solely determined by TechnologyAdvice, will be disqualified and all associated entries will be void. Should any portion of the Contest be, in TechnologyAdvice’s sole opinion, compromised by virus, worms, bugs, non-authorized human intervention or other causes which, in the sole opinion of the TechnologyAdvice, corrupt or impair the administration, security, fairness or proper play, or submission of entries, or should the Contest be unable to run as planned for any other reason, TechnologyAdvice reserves the right, in its sole discretion to suspend, modify or terminate the Contest and, if terminated, at its discretion, select the potential Winner from all eligible, non-suspect entries received prior to the action taken or as otherwise deemed fair and appropriate by TechnologyAdvice. VIOLATIONS:  ANY ATTEMPT TO DAMAGE THE CONTEST WEBSITE, CONTEST APPLICATION OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, TECHNOLOGYADVICE WILL DISQUALIFY ANY SUCH INDIVIDUAL AND RESERVES THE RIGHT TO SEEK DAMAGES (INCLUDING ATTORNEYS’ FEES) AND OTHER REMEDIES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW. SUSPENSION, MODIFICATION, AND TERMINATION:In the event TechnologyAdvice is prevented from continuing with the Contest by any event beyond its control, including, but not limited to, fire, flood, epidemic, earthquake, explosion, labor dispute or strike, act of God or public enemy, communications or equipment failure, utility or service interruptions, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared), interference with the Contest by any party, or any federal state or local government law, order, or regulation, order of any court or jurisdiction, or other cause not reasonably within TechnologyAdvice’s control, TechnologyAdvice shall have the right to modify, suspend or terminate the Contest. TechnologyAdvice additionally reserves the right, in its sole and absolute discretionto modify, suspend or terminate the Contest should causes beyond TechnologyAdvice’s control corrupt or interfere with the administration, integrity, operation, or security of the Contest. LIMITATION OF LIABILITY:BY ENTERING THE CONTEST, ENTRANT AGREES THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW: (1) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE CONTEST, OR ANY PRIZE AWARDED, WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (2) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED (IF ANY) NOT TO EXCEED TEN DOLLARS ($10.00), BUT IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE; (3) UNDER NO CIRCUMSTANCES WILL ANY ENTRANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND ENTRANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT OF POCKET EXPENSES NOT TO EXCEED TEN DOLLARS $10.00), AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (4) ENTRANTS’ REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND ENTRANT IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF. DISPUTES / ARBITRATION: This Contest and any dispute arising under or related thereto (whether for breach of contract, tortious conduct or otherwise) will be governed by the laws of the State of Tennessee, without reference to its conflicts of law principles. The parties agree to finally settle all disputes (as defined and subject to any specific exceptions below) only by arbitration in Williamson Tennessee and that the arbitrator’s decision and award shall be final and binding.   Judgments on the arbitrator’s award may be entered in any court with jurisdiction.   The arbitration will be administered by the American Arbitration Association under its consumer arbitration rules. If any American Arbitration Association rule conflicts with these Official Rules, these Official Rules apply. MISCELLANEOUS: The invalidity or unenforceability of any provision of these Official Rules will not affect the validity or enforceability of any other provision. In the event that any provision of the Official Rules is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. TechnologyAdvice’s failure to enforce any term of these Official Rules will not constitute a waiver of that provision. Entrants agree to waive any rights to claim ambiguity of these Official Rules. Headings are solely for convenience of reference and will not be deemed to affect in any manner the meaning or intent of the documents or any provision hereof.In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Contest related materials, privacy policy or terms of use on the Contest Website and/or the terms and conditions of the Official Rules, the Official Rules shall prevail, govern and control.
